By accessing or using the Bitmetric website or TrakIT platform, you confirm that you are at least 18 years of age, have the authority to enter into these Terms on behalf of yourself or your organisation, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must immediately cease use of our website and services.

2Description of Services

Bitmetric provides logistics workflow management software and consultancy services, including:

• TrakIT — a cloud-based, configurable logistics workflow management platform
• Consulting services — process analysis, implementation support, and logistics technology consultancy
• Custom development — bespoke software solutions for logistics and supply chain operations
• Integration services — connecting TrakIT with third-party systems, APIs, and data platforms

The specific terms governing TrakIT subscriptions and professional services engagements are set out in separate service agreements. These Terms apply to general use of our website and public-facing services.

3User Obligations

When using our website or services, you agree to:

• Provide accurate, current, and complete information when submitting forms or registering for services
• Maintain the confidentiality of any account credentials and notify us immediately of any unauthorised access
• Use our services only for lawful purposes and in compliance with all applicable laws and regulations
• Not attempt to interfere with, disrupt, or compromise the integrity or security of our systems
• Not use our services in any manner that could damage our reputation or the interests of other users

4Intellectual Property

All content on this website and within the TrakIT platform — including but not limited to text, graphics, logos, icons, software, design, and documentation — is the exclusive property of Bitmetric Solutions Inc. and is protected by applicable intellectual property laws.

Licence to use

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our website for your personal or internal business purposes. This licence does not include the right to:

• Reproduce, distribute, or create derivative works from our content
• Reverse engineer, decompile, or disassemble any software
• Remove or alter any proprietary notices or labels
• Use our trademarks, logos, or brand assets without prior written consent

Your content

You retain ownership of any data, content, or materials you upload to TrakIT. By using the platform, you grant Bitmetric a limited licence to process and store that content solely for the purpose of delivering the services.

5TrakIT Platform Terms

Use of the TrakIT platform is subject to a separate service agreement or subscription contract. Key principles include:

• Access is granted on a per-organisation basis and credentials must not be shared outside your authorised users
• You are responsible for all activity within your TrakIT instance
• Data uploaded to TrakIT remains your property; Bitmetric processes it only as a data processor under your instructions
• Uptime, support levels, and service commitments are defined in your specific service agreement
• Misuse of the platform or violation of these Terms may result in suspension or termination of access

6Prohibited Uses

You must not use our website or services to:

• Transmit any unlawful, harmful, threatening, abusive, or fraudulent content
• Introduce viruses, malware, or any other malicious code
• Attempt to gain unauthorised access to any part of our systems or another user's account
• Scrape, harvest, or extract data from our website or platform without written consent
• Engage in any activity that imposes an unreasonable load on our infrastructure
• Impersonate Bitmetric, its employees, or any other person or entity
• Violate any applicable local, national, or international law or regulation

7Disclaimer of Warranties

Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The website or services will be uninterrupted, error-free, or completely secure
• Any information on the website is accurate, complete, or current
• Defects will be corrected within any specific timeframe

Nothing in these Terms excludes liability that cannot be excluded under applicable law, including consumer protection laws in Canada.

8Limitation of Liability

To the fullest extent permitted by law, Bitmetric Solutions Inc. and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising from your use of or inability to use our services.

Our total aggregate liability for any claims arising under these Terms shall not exceed the greater of CAD $100 or the amount you paid to Bitmetric in the twelve months preceding the claim.

This limitation does not apply to liability arising from gross negligence, fraud, or wilful misconduct on our part.

9Indemnification

You agree to indemnify, defend, and hold harmless Bitmetric Solutions Inc., its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your access to or use of our website or services
• Your violation of these Terms
• Your infringement of any third-party rights, including intellectual property rights
• Any content you upload, submit, or transmit through our services

10Third-Party Links & Services

Our website may contain links to third-party websites, services, or resources. These links are provided for your convenience only. We have no control over, and accept no responsibility for, the content, privacy practices, or reliability of third-party sites.

References to third-party products, services, or companies (such as Power BI, Tableau, or GPS providers) do not constitute endorsement. Your use of third-party services is subject to their respective terms and conditions.

11Termination

We reserve the right to suspend or terminate your access to our website or services at our sole discretion, without notice, if we believe you have violated these Terms or engaged in conduct harmful to Bitmetric, other users, or third parties.

Upon termination, all licences granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall continue to apply.

12Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of our services shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Ontario, Canada.

13Changes to Terms

We reserve the right to modify these Terms at any time. We will indicate the date of the most recent update at the top of this page. For material changes, we will make reasonable efforts to notify affected users.

Your continued use of our website or services after any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our services.
